It has been all change for company law recently. Now that the new Companies Act is all in force Companies House has been very busy updating company forms, all of which have new numbers such as appointment of director forms and plenty of companies are adopting new Articles of Association to reflect the new Model Articles under the Companies Act.

 

Roger Morris asks “When did you last revise your company’s articles? Did you know you are no longer legally obliged to have a company secretary nor to hold an AGM unless your current articles specify that you must.  You may find that areas where the law has loosened up cannot be used because you are caught with older articles of association. We can advise on and revise your articles.

 

If you are planning to sell your business it is wise to take legal advice early. Tax advice is crucial too in determining if you are better off buying shares or assets, a very important legal distinction.   We handle many sales and purchases of businesses and can guide you through the complex process.
